Corporate Governance

Oversight, accountability and governance risks faced by corporate boards have increased in recent years. Federal agencies view corporate governance regulations as measures necessary to improve transparency and protect corporate equityholders.

We have a robust corporate governance practice, providing strategic guidance and representation to corporate boards and their subcommittees regarding corporate controls, compliance assessment, and planning to identify and protect clients from legal issues that would adversely affect their business operations or shareholder value.

We counsel corporate boards, subcommittees, individual directors, officers and management personnel on their rights and responsibilities under regulatory requirements.

We represent a variety of corporate governance subcommittees, including subcommittees with oversight of audit, executive compensation, director nomination, governance, and pension fund investment matters. In addition, we counsel corporate boards and their special and independent committees on oversight of corporate transactions, including mergers, acquisitions, other business combinations, restructurings, and securities offerings.
